2. Client Obligations

When engaging our services, you agree to:

• Supply all required content, assets, and access credentials in a timely manner
• Review and provide feedback on deliverables within the agreed timelines
• Make payments according to the agreed payment schedule
• Ensure that all materials provided to us do not infringe on any third-party intellectual property rights

3. Payment Terms

Payment terms will be specified in individual project proposals. General terms include:

• An advance payment (typically 30-50%) is required before project commencement
• Milestone-based payments may apply for larger projects
• Final payment is due upon project completion and before final handover
• Late payments may attract interest at 1.5% per month on the outstanding amount
• All prices are quoted in Indian Rupees (INR) unless otherwise specified

4. Intellectual Property

Our Work

Upon full payment, the client receives ownership of the final deliverables specifically created for their project (website code, app code, design files, etc.). We retain the right to showcase the work in our portfolio unless otherwise agreed in writing.

Third-Party Assets

Projects may incorporate third-party assets (fonts, images, libraries, plugins) that are subject to their own licences. We will inform you of any such assets and their licensing requirements.

Pre-Existing IP

Any frameworks, tools, code libraries, or methodologies that existed before the project or were developed independently remain our intellectual property. The client is granted a non-exclusive licence to use these as part of the delivered project.

5. Revisions & Changes

Each project proposal will specify the number of revision rounds included. Additional revisions or scope changes beyond the agreed specification may incur extra charges, which will be communicated and approved before work begins.

6. Project Timeline

We strive to deliver projects within agreed timelines. However, delays may occur due to:

• Late provision of content, assets, or feedback from the client
• Scope changes or additional requirements requested during the project
• Circumstances beyond our reasonable control (force majeure)

We will communicate any anticipated delays promptly and work collaboratively to minimise their impact.

7. Warranties & Disclaimers

We warrant that our services will be performed with reasonable skill and care. However:

• We do not guarantee specific search engine rankings, traffic levels, or conversion rates
• We do not guarantee that websites or applications will be free from all bugs or errors
• Our services are provided "as is" to the extent permitted by law
• We are not liable for any third-party service outages (hosting, APIs, payment gateways)

8. Limitation of Liability

To the maximum extent permitted by applicable law, Style Attribute shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to the use of our services.

Our total liability for any claim arising under these Terms shall not exceed the total fees paid by the client for the specific project in question.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes business strategies, technical specifications, customer data, and financial information. This obligation survives the termination of any agreement.

10. Termination

Either party may terminate a project engagement under the following conditions:

• By mutual written agreement
• If either party breaches a material term and fails to remedy it within 14 days of written notice
• If either party becomes insolvent or ceases operations

Upon termination, the client shall pay for all work completed up to the termination date. Advance payments are non-refundable unless otherwise specified in the project agreement.

11. Website Usage

When using our website, you agree not to:

• Use the site for any unlawful or fraudulent purpose
• Attempt to gain unauthorised access to any part of the website or its systems
• Copy, reproduce, or distribute any content from our website without permission
• Upload or transmit viruses, malware, or any harmful code
• Use automated tools to scrape or extract data from the website

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
